TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User" or "you") and RS Project, LLC ("Company," "we," "us," or "our"), a New York limited liability company, governing your access to and use of Bookkeeping-OCR software ("Software"), including any updates, enhancements, and related services.

BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.

By accepting these Terms on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

2. DESCRIPTION OF SERVICE

Bookkeeping-OCR is a standalone desktop software application designed for personal and small-business bookkeeping. The Software provides the following features:

  • Optical Character Recognition (OCR) for processing and extracting data from receipt images and financial documents;
  • Expense tracking, categorization, and management;
  • Revenue tracking and management;
  • Contact directory management;
  • Financial reporting, including export to CSV and XLSX formats;
  • Local data storage — all user financial data is stored exclusively on the User's local machine.

The Software is downloaded from bookkeeping-ocr.com ("Website") and runs entirely on the User's computer. The Software does not require an ongoing internet connection for its core bookkeeping functions. Internet access is required only for license activation and checking for software updates.

The Company reserves the right to modify, update, or discontinue features of the Software at its discretion, subject to the terms of the applicable Service Contract.

3. TRIAL PERIOD

Free Trial. The Software is available for a thirty (30) day free trial period ("Trial Period"). The Trial Period begins on the date of first launch of the Software on your computer.

To download the Software and begin a Trial Period, you must provide a valid email address on the Website. Your email address is used solely to deliver the download link and, upon purchase, to deliver your License Key. See our Privacy Policy for details.

During the Trial Period, you have access to all features of the Software. No payment is required during the Trial Period.

Trial Expiration. Upon expiration of the Trial Period, the Software will lock and become inaccessible until a valid License Key is entered and activated. Your locally stored bookkeeping data will remain intact on your machine. To regain access, you must purchase and activate a license as described in Section 4.

The Company reserves the right to modify Trial Period terms or duration at any time for new downloads. Your Trial Period duration is fixed at the time of your download.

4. LICENSE PURCHASE

Perpetual License. Upon purchasing a license through bookkeeping-ocr.com, you receive a non-exclusive, non-transferable, perpetual right to install and use the Software on a single computer ("Licensed Machine"). The license does not expire after purchase.

Single Machine License. Your license is valid for use on one (1) computer only. One (1) license = one (1) machine. If you need to transfer your license to a new machine, contact support@bookkeeping-ocr.com to request a transfer.

Payment. License purchases are processed through Stripe, a third-party payment processor. By purchasing, you agree to Stripe's terms of service and privacy policy. The Company does not store your payment card information.

License Key. Upon successful payment, a License Key will be generated and delivered to your email address. You must enter this License Key in the Software's activation screen to activate your perpetual license.

Non-Transferability. Your license may not be sold, transferred, sublicensed, or assigned to another individual or entity without prior written consent from RS Project, LLC.

5. SERVICE CONTRACT

Included Service Contract. Every license purchase includes a one (1) year service contract ("Service Contract") commencing on the date of license activation.

The Service Contract covers:

  • Software updates for the application version released at the time of purchase, delivered as new downloadable executables. Does not include new functionality releases.
  • Bug fixes and patches addressing defects in the Software;
  • Email-based technical support via support@bookkeeping-ocr.com, with reasonable response times during normal business hours.
  • Active service contracts will be given discounted pricing on new functionality if released during the service contract window.

The Service Contract does not cover:

  • Training, consulting, or custom feature development;
  • Issues caused by User's hardware, operating system, or third-party software;
  • Data recovery or restoration services.

Non-Renewal Default. The Service Contract does not automatically renew. Upon expiration, you retain full use of the version of the Software you have installed. Renewal of the Service Contract may be available at the then-current price.

6. USER ACCOUNTS AND DATA

No Cloud Accounts. The Software does not require the creation of a cloud account. There is no user login within the Software itself. All bookkeeping data — including receipts, transactions, contacts, and reports — is stored exclusively in a local database on your machine.

User Responsibility for Data. You are solely responsible for the security, backup, and integrity of your locally stored data. The Company has no access to your bookkeeping data and cannot recover data lost due to hardware failure, accidental deletion, or other causes. We strongly recommend maintaining regular backups.

Data Export. The Software provides tools to export your data in CSV and XLSX formats. We encourage you to export and back up your data regularly.

You retain full ownership of all financial data and records you enter into the Software.

7. ACCEPTABLE USE

You may use the Software for lawful personal and business bookkeeping purposes. You agree NOT to:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software;
  • Redistribute, sell, sublicense, rent, lease, or transfer the Software or your license to any third party without prior written consent;
  • Modify, adapt, translate, or create derivative works based on the Software;
  • Circumvent, disable, or tamper with the licensing, trial management, or activation systems;
  • Remove, alter, or obscure any proprietary notices, copyright notices, or labels within the Software;
  • Use the Software in any manner that violates applicable local, state, national, or international laws or regulations;
  • Use the Software to process data in connection with fraudulent, deceptive, or illegal financial activities.

Any violation of these restrictions may result in immediate termination of your license without refund.

8. INTELLECTUAL PROPERTY

All rights, title, and interest in and to the Software, including all associated intellectual property rights — including but not limited to copyrights, patents, trademarks, and trade secrets — are and shall remain the exclusive property of RS Project, LLC.

These Terms do not grant you any rights to the Company's trademarks, service marks, or logos. "Bookkeeping-OCR" and associated branding are trademarks of RS Project, LLC.

Open Source Components. The Software incorporates Tesseract OCR, an open-source optical character recognition engine licensed under the Apache License 2.0. Tesseract OCR is the property of its respective copyright holders. Use of Tesseract within the Software is subject to the Apache License 2.0, a copy of which is available at https://www.apache.org/licenses/LICENSE-2.0.

9. PRIVACY

Our Privacy Policy (available at bookkeeping-ocr.com) describes how we collect, use, and protect your personal information. By using the Software, you agree to the collection and use of information as described in the Privacy Policy.

In summary:

  • The Software itself does not collect, transmit, or share your bookkeeping data. All financial records remain on your local machine.
  • Your email address is collected when you download the Software and used to deliver the download link, License Key, and service communications.
  • License activation requires an internet connection to validate your License Key with our activation server.

The Privacy Policy is incorporated by reference into these Terms.

10. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RS PROJECT, LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT;
  • ANY WARRANTY THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR OPERATE WITHOUT INTERRUPTION OR ERROR;
  • ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF OCR RESULTS OR FINANCIAL CALCULATIONS PRODUCED BY THE SOFTWARE.

THE SOFTWARE IS NOT DESIGNED OR INTENDED FOR USE AS TAX PREPARATION SOFTWARE, AUDITING SOFTWARE, OR CERTIFIED FINANCIAL REPORTING. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING THE ACCURACY OF ALL DATA PROCESSED OR GENERATED BY THE SOFTWARE BEFORE MAKING ANY FINANCIAL, TAX, OR BUSINESS DECISIONS.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RS PROJECT, LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
  • DAMAGES ARISING FROM FINANCIAL DECISIONS MADE IN RELIANCE ON DATA OR CALCULATIONS PRODUCED BY THE SOFTWARE;
  • COSTS OF SUBSTITUTE GOODS OR SERVICES.

IN ALL CASES, RS PROJECT, LLC'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SOFTWARE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID FOR YOUR LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if RS Project, LLC has been advised of the possibility of such damages.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless RS Project, LLC and its members, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Software;
  • Your violation of these Terms;
  • Your violation of any applicable law or regulation;
  • Any claim by a third party arising from your use of the Software.

13. TERMINATION

Termination by User. You may stop using the Software and uninstall it at any time. Termination of use does not entitle you to a refund, except as may be required by applicable law.

Termination by Company. RS Project, LLC may terminate your license immediately and without notice if:

  • You materially breach any provision of these Terms;
  • You attempt to circumvent, disable, or tamper with the licensing or activation system;
  • You engage in fraudulent activity in connection with the Software or your purchase.

Effect of Termination. Upon termination of your license, you must immediately cease all use of the Software and uninstall it from all machines. Sections 8, 10, 11, 12, 14, and 15 survive termination. Your locally stored bookkeeping data remains on your machine and is not affected by license termination.

14. UPDATES AND MODIFICATIONS

Software Updates. RS Project, LLC may release software updates, patches, or new versions at its discretion. During an active Service Contract, you are entitled to download and install available updates. Updates are checked manually via the "Check for Updates" feature within the Software.

Modifications to Terms. RS Project, LLC reserves the right to modify these Terms at any time. Updated Terms will be posted on bookkeeping-ocr.com with a revised effective date. Your continued use of the Software after the effective date of updated Terms constitutes your acceptance of the updated Terms. For material changes, we will make reasonable efforts to notify you via the email address associated with your download or license.

15. GOVERNING LAW AND DISPUTES

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States of America, without regard to its conflict of law provisions.

Informal Resolution. Before initiating any formal legal proceeding, you agree to contact RS Project, LLC at support@bookkeeping-ocr.com to attempt good-faith resolution of any dispute. The parties will have thirty (30) days to resolve the dispute informally before either party may commence formal proceedings.

Any legal action or proceeding arising from or related to these Terms or the Software shall be brought exclusively in the state or federal courts located in New York, New York. You consent to the personal jurisdiction of such courts.

17. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and End User License Agreement (EULA), constitute the entire agreement between you and RS Project, LLC with respect to the Software and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

The failure of RS Project, LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

PRIVACY POLICY

1. INTRODUCTION

RS Project, LLC ("Company," "we," "us," or "our") is committed to protecting your privacy. This Privacy Policy explains how we collect, use, store, and protect personal information in connection with Bookkeeping-OCR software ("Software") and the bookkeeping-ocr.com website ("Website") both owned and operated by RS Project, LLC.

Bookkeeping-OCR is a standalone desktop application. A foundational principle of our design is that your financial data never leaves your machine. This Privacy Policy is limited to the narrow set of personal information we do collect — principally your email address, used for license delivery and service communications.

By downloading the Software or using the Website, you agree that you have reviewed this Privacy Policy and will comply with its provisions.

2. INFORMATION WE COLLECT

2.1 Email Address. Providing your email address is required to receive the download link in order to download the application. Your email address is also used to deliver your License Key after purchase and for service-related communications.

2.2 License Activation Data. During the license activation process, the Software communicates with our activation server to validate your License Key. This communication is limited to what is necessary to confirm the validity of the License Key and record that it has been activated on your machine. No financial data, bookkeeping records, or personal information beyond what is described in this Policy is transmitted during activation.

2.3 Purchase Information. License purchases are processed through Stripe, a third-party payment processor, or another third-party payment processor used by us in the future. We do not collect, process, or store your credit card number, bank account information, or other payment credentials. Stripe handles all payment data under its own privacy policy. We receive from Stripe only confirmation of successful payment and the email address associated with the transaction.

2.4 Support Communications. If you contact us for support, we will receive and retain the content of your communications, including your email address and any information you choose to share.

3. HOW WE COLLECT INFORMATION

3.1 Website Download Form. Your email address is collected through the download form on bookkeeping-ocr.com.

3.2 License Activation. When you activate your purchased license by entering your License Key in the Software, the Software communicates with our activation server to validate the key. This is a one-time communication per activation event.

3.3 Website Analytics. Our Website may use analytics tools (such as Google Analytics) to collect aggregated, anonymized information about Website visitors, including pages viewed and general geographic region. This data is not linked to individual identities.

3.4 No In-App Data Collection. The Software itself does not contain tracking, telemetry, crash reporting, or any mechanism to transmit your bookkeeping data to us or any third party. All data you enter into the Software remains on your computer only.

4. HOW WE USE YOUR INFORMATION

We use the information we obtain from you for the following specific purposes:

Email Address: (a) To deliver the Software download link; (b) to deliver your License Key upon purchase; (c) to send service-related communications, including updates about your Service Contract, important security notices, and responses to your support requests; (d) to contact you about Software updates (you may opt out of non-essential communications as described in Section 9).

License Activation Data: Solely obtained to validate your License Key and confirm that it has been activated. It is never used for behavioral tracking, advertising, or profiling.

Support Communications: To respond to your support requests and improve the Software.

We do not use your information for advertising, behavioral profiling, or sale to third parties.

5. DATA WE DO NOT COLLECT

We want to be explicit about what we do NOT collect, transmit, or store:

  • Your bookkeeping records, including receipts, expense entries, revenue entries, transaction data, and contacts;
  • Receipt images or scanned documents processed by the OCR engine;
  • Financial reports or exported files you generate within the Software;
  • Keystroke logs, screen captures, or usage behavior within the Software;
  • Browser history or data from other applications on your computer;
  • Precise location data.

All data you enter into Bookkeeping-OCR is stored in a local database on your machine. RS Project, LLC never sees, accesses, or stores your data.

6. DATA SHARING AND THIRD PARTIES

We do not sell your personal information. We share your information only in the following limited circumstances:

Stripe. Your email address is shared with Stripe for the purpose of processing your license purchase and delivering a receipt. Stripe operates under its own privacy policy, available at stripe.com/privacy.

Legal Compliance. We may disclose personal information if required to do so by law, court order, or governmental authority, or if we believe in good faith that such disclosure is necessary to protect our rights, your safety, or the safety of others.

Business Transfers. In the event of a merger, acquisition, or sale of all or a portion of RS Project, LLC's assets, your information may be transferred as part of that transaction. We will notify you via email if such a transfer involves your personal data.

No other third-party data sharing occurs.

7. DATA RETENTION

Email Address: Retained for the duration of your active license and for two (2) years following expiration or termination, to support potential support requests and audit obligations.

License Activation Records: Retained for the duration of your active license to support reactivation and transfer requests. Deleted after license termination upon request.

Support Communications: Retained for three (3) years to support continuity of service.

You may request deletion of your personal information at any time by contacting support@bookkeeping-ocr.com. Deletion requests will be honored within thirty (30) days, except where retention is required by law.

8. DATA SECURITY

We implement industry-standard measures to protect the personal information we collect:

  • Email addresses and license records are stored on servers with access controls and encryption at rest;
  • All data transmitted between the Software and our activation server is encrypted using HTTPS/TLS;
  • Payment data is handled exclusively by Stripe, which maintains PCI DSS compliance;
  • Your bookkeeping data never leaves your machine and is therefore not subject to our server-side security risks.

While we employ reasonable security measures, no method of transmission over the Internet or electronic storage is 100% secure. We cannot guarantee absolute security of your information.

9. YOUR RIGHTS

Access. You may request a copy of the personal information we hold about you.

Correction. You may request correction of inaccurate or incomplete personal information.

Deletion. You may request deletion of your personal information, subject to our legal obligations and the need to maintain active license records.

Opt-Out. You may opt out of non-essential communications (such as product news or marketing) by replying to any email with "UNSUBSCRIBE" or contacting us at support@bookkeeping-ocr.com. You cannot opt out of essential service communications (License Key delivery, security notices) while your license is active.

To exercise any of these rights, contact us at support@bookkeeping-ocr.com. We will respond within thirty (30) days. We may need to verify your identity before processing your request.

10. CHANGES TO THIS POLICY

RS Project, LLC reserves the right to update or modify this Privacy Policy at any time. We will post the revised Policy on our Website with an updated Effective Date. For material changes, we will make reasonable efforts to notify you via email.

Your continued use of the Software or Website after the effective date of the updated Policy constitutes your acceptance of the revised terms.

END USER LICENSE AGREEMENT (EULA)

IMPORTANT — PLEASE READ CAREFULLY: This End User License Agreement ("EULA" or "Agreement") is a legally binding agreement between you ("Licensee" or "you") and RS Project, LLC ("Licensor"), a New York limited liability company, governing your use of the Bookkeeping-OCR software application. BY INSTALLING, COPYING, ACTIVATING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.

1. DEFINITIONS

As used in this Agreement, the following terms shall have the meanings set forth below:

"Software" means the Bookkeeping-OCR desktop application, including all files, data, and documentation included in the download package, and any updates, patches, or new versions provided by Licensor.

"License" means the right granted to Licensee under this Agreement to install and use the Software.

"Licensor" means RS Project, LLC, a New York limited liability company.

"Licensee" means the individual or business entity that has downloaded, installed, or is using the Software.

"Activation File" means the signed digital file (.lic) generated by Licensor following a successful license purchase, which unlocks the full perpetual license when loaded into the Software.

"Machine Hash" means a one-way cryptographic identifier generated from the hardware characteristics of a specific computer, used to bind an Activation File to a single machine.

"Trial Period" means the thirty (30) day period beginning on the date of first launch of the Software, during which all Software features are accessible without payment.

"Service Contract" means the one (1) year support and maintenance agreement included with each license purchase, commencing on the Activation Date.

"Activation Date" means the date on which the Licensee successfully loads a valid Activation File into the Software.

2. GRANT OF LICENSE

2.1 Trial License. Subject to the terms of this Agreement, Licensor grants Licensee a limited, non-exclusive, non-transferable license to install and use the Software on a single computer during the Trial Period, at no charge.

2.2 Perpetual License. Upon purchase and successful activation, Licensor grants Licensee a non-exclusive, non-transferable, perpetual license to install and use the Software on one (1) Licensed Machine.

2.3 Scope. The License is limited to installation and use on the single machine identified by the Machine Hash embedded in the Activation File.

2.4 No Ownership Transfer. This Agreement grants Licensee a license to use the Software; it does not transfer title, ownership, or any intellectual property rights.

3. TRIAL LICENSE TERMS

3.1 Trial Duration. The Trial Period is thirty (30) calendar days from the date of first launch of the Software on Licensee's machine.

3.2 Full Feature Access. During the Trial Period, Licensee has access to all features of the Software without restriction.

3.3 Email Requirement. To download the Software and begin the Trial Period, Licensee must provide a valid email address on the Website.

3.4 Trial Expiration. Upon expiration of the Trial Period, the Software will automatically enter a locked state. Locally stored bookkeeping data is not deleted upon Trial Period expiration.

3.5 No Obligation. Trial use does not obligate Licensee to purchase a license.

4. LICENSE ACTIVATION

4.1 Purchase. Perpetual licenses are purchased exclusively through bookkeeping-ocr.com using the Stripe payment platform.

4.2 Activation File Delivery. Upon successful payment, Licensor will generate and deliver a signed Activation File (.lic) to the email address provided by Licensee.

4.3 Activation Process. To activate the perpetual license, Licensee must load the Activation File into the Software. The Software will verify the file's digital signature and the Machine Hash.

4.4 Machine Binding. Each Activation File is bound to a single machine. One (1) license = one (1) machine.

4.5 Activation File Security. Licensee is responsible for safeguarding the Activation File. Contact support@bookkeeping-ocr.com if the file is lost.

5. LICENSE TRANSFER

5.1 Non-Transferability to Persons. This License may not be sold, transferred, sublicensed, or assigned to another individual or entity without prior written consent from Licensor.

5.2 Machine Transfer. If Licensee replaces their primary computer, Licensee may request a machine transfer by contacting support@bookkeeping-ocr.com. Licensor will issue a new Activation File at no charge during the Service Contract period.

5.3 Business Continuity. In the event of a business acquisition or restructuring, license transfers within the same legal entity are permitted. Cross-entity transfers require Licensor's written consent.

6. SERVICE CONTRACT

6.1 Included Service Contract. Each license purchase includes a one (1) year Service Contract commencing on the Activation Date.

6.2 Coverage. The Service Contract covers:

  • Software updates released by Licensor during the Service Contract period. Does not include new functionality releases;
  • Bug fixes and patches addressing defects in the Software;
  • Email-based technical support via support@bookkeeping-ocr.com.

6.3 Exclusions. The Service Contract does not cover:

  • Training, consulting, or custom software development;
  • Issues arising from Licensee's hardware, operating system, or incompatible third-party software;
  • Data recovery, restoration, or backup services;
  • Defects caused by unauthorized modification of the Software.

6.4 Non-Renewal Default. The Service Contract expires one (1) year after the Activation Date and does not automatically renew. Licensee retains perpetual use rights to the Software version currently installed.

6.5 Renewal. Service Contract renewal is available at Licensor's then-current renewal price.

7. RESTRICTIONS

Licensee shall NOT:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software;
  • Redistribute, sell, sublicense, rent, lease, lend, or transfer the Software or this License to any third party;
  • Modify, adapt, translate, or create derivative works based on the Software;
  • Circumvent, disable, bypass, or tamper with the licensing system, trial management, activation mechanism, or any technological protection measure;
  • Use the Software as part of a software-as-a-service, hosted service, or managed service offering;
  • Remove, alter, obscure, or deface any copyright notice or proprietary rights notice;
  • Use the Software for processing data related to fraudulent, deceptive, or illegal financial activities.

8. INTELLECTUAL PROPERTY

8.1 Licensor Ownership. All right, title, and interest in and to the Software, including all intellectual property rights, are and shall remain the exclusive property of RS Project, LLC.

8.2 Trademarks. "Bookkeeping-OCR" and associated logos and branding are trademarks of RS Project, LLC.

8.3 Licensee Data. Licensee retains full ownership of all financial data, records, and other content entered into or generated by the Software.

8.4 Open Source Components. The Software incorporates Tesseract OCR, distributed under the Apache License, Version 2.0. A copy of the Apache License is available at https://www.apache.org/licenses/LICENSE-2.0.

9. USER DATA AND LOCAL STORAGE

9.1 Local-Only Storage. All bookkeeping data is stored exclusively in a local database on Licensee's machine. RS Project, LLC has no access to, and does not receive, transmit, or store, any of Licensee's bookkeeping data.

9.2 Licensee Responsibility. Licensee is solely responsible for the security, backup, integrity, and recovery of all locally stored data.

9.3 Data Portability. The Software provides data export functionality (CSV and XLSX formats).

9.4 No Telemetry. The Software does not include telemetry, crash reporting, usage analytics, or any other mechanism for transmitting information about Licensee's use of the Software.

10. UPDATES

10.1 Update Availability. Licensor may release updates, patches, and new versions at its sole discretion.

10.2 Manual Check. Updates are not delivered automatically. Licensee may check for updates using the "Check for Updates" feature within the Software.

10.3 Service Contract Updates. Updates released during an active Service Contract period are included at no additional charge.

10.4 Post-Contract Updates. Updates released after Service Contract expiration may require renewal or a separate upgrade fee. Licensee retains perpetual use of the version installed prior to contract expiration.

11. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

THE SOFTWARE IS NOT CERTIFIED FOR USE AS TAX PREPARATION SOFTWARE, AUDITING SOFTWARE, OR FOR GENERATING LEGALLY REQUIRED FINANCIAL STATEMENTS. LICENSEE IS SOLELY RESPONSIBLE FOR VERIFYING THE ACCURACY OF ALL DATA AND CALCULATIONS.

12. LIMITATION OF LIABILITY

12.1 Exclusion of Damages. IN NO EVENT SHALL RS PROJECT, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

12.2 Financial Decision Disclaimer. LICENSOR SHALL NOT BE LIABLE FOR ANY FINANCIAL LOSS, TAX LIABILITY, AUDIT FINDING, OR OTHER CONSEQUENCE ARISING FROM LICENSEE'S RELIANCE ON DATA OR REPORTS PRODUCED BY THE SOFTWARE.

12.3 Liability Cap. LICENSOR'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY LICENSEE FOR THE LICENSE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

13. TERMINATION

13.1 Termination by Licensee. Licensee may terminate this Agreement at any time by permanently uninstalling the Software.

13.2 Termination by Licensor. Licensor may terminate this Agreement immediately upon written notice if Licensee materially breaches this Agreement, attempts to circumvent the licensing system, or engages in fraudulent conduct.

13.3 Effect of Termination. All rights granted cease immediately. Locally stored bookkeeping data remains on Licensee's machine and is not deleted by Licensor.

13.4 Survival. Sections 1, 7, 8, 9, 11, 12, 14, and 15 survive termination.

14. GOVERNING LAW AND DISPUTE RESOLUTION

14.1 Governing Law. This Agreement shall be governed by the laws of the State of New York, without regard to conflict of law principles.

14.2 Informal Resolution. Before initiating formal legal proceedings, the parties agree to attempt good-faith resolution. The party raising a dispute shall provide written notice to support@bookkeeping-ocr.com. The parties shall have thirty (30) days to resolve the dispute informally.

14.3 Jurisdiction. Any legal action shall be brought exclusively in the state or federal courts located in New York, New York.

14.4 Limitation on Actions. Any claim must be brought within one (1) year after the cause of action accrues.

15. ENTIRE AGREEMENT

This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between Licensor and Licensee with respect to the Software and supersedes all prior and contemporaneous negotiations, representations, and agreements.
